General Terms

These general terms and conditions apply to every quotation and every agreement of Degen Assets CommV, De Keyserlei 60C/1301, 2018 Antwerp, BE 1012.248.151 ("we", "us", "Degen Assets").

If you are a consumer, the mandatory provisions of the Belgian Code of Economic Law apply to you in any event. Where a provision below departs from those to your detriment, the law prevails.

Article 1 — What we do, and what we do not do

We put transaction data back together. We retrieve your transaction history from exchanges, wallets and protocols, bring it into one format, reconcile it, value the movements using a fixed rate source, and deliver one documented overview in which every figure can be traced back to a source. Anything that does not reconcile remains in the file as an open item, with an explanation.

We expressly do not:

  • provide tax, legal or accounting advice;
  • characterise transactions for tax or accounting purposes;
  • determine your acquisition value, capital gain or taxable base;
  • prepare, review or file a tax return;
  • issue any statement, certificate, audit or assurance of any kind about the accuracy or completeness of your data;
  • provide investment advice or asset management.

What the figures mean for tax purposes is a conversation with your accountant or tax adviser. We deliver the file that makes that conversation possible.

The overview we deliver is a representation of the data as we have been able to assemble it. It is not evidence in itself and it is not a statement about your tax position.

Article 2 — Quotation

We work per assignment. On the basis of your intake form or a conversation we prepare a quotation setting out the scope, the price and the lead time.

Our quotations are valid for 30 calendar days. An agreement is formed when you accept the quotation in writing.

We may decline an assignment. We do so, among other reasons, where the scope remains unclear, where we cannot place the origin of the data, or where an export is sufficient and a reconstruction adds nothing for you. In that last case we will tell you so.

Article 3 — What we need from you

The quality of the result is determined by the completeness of what you provide. Therefore:

  1. You give us a complete statement of all platforms, accounts and wallet addresses that fall within the assignment, including those where you are no longer active or no longer have access.
  2. You warrant the accuracy of that statement and that the addresses and accounts given are yours.
  3. You deliver the material through the secure folder we provide.
  4. We may rely on what you tell us. We are not required to investigate its accuracy or completeness.

If it appears during or after the assignment that a platform, account or address was not disclosed, the result is incomplete to that extent. That is not for our account. Additional work is carried out on the basis of a new quotation.

Article 4 — Right of withdrawal for consumers

If you are a consumer and the agreement was concluded at a distance or away from our business premises, you have fourteen calendar days from the day after the agreement is concluded to withdraw from it without giving a reason.

You withdraw by telling us unambiguously at info@degenassets.io. You may use the model form attached to these terms.

If you want us to start earlier than after fourteen days, we ask you to confirm that expressly. We include a separate declaration in the quotation for that purpose:

I expressly request Degen Assets to begin performance before the fourteen-day withdrawal period expires. I acknowledge that I lose my right of withdrawal once the service has been fully performed, and that if I withdraw during performance I owe payment pro rata for the work already delivered.

If you do not confirm this, we start only after the fourteen days have passed.

If you withdraw after we have started at your express request, you pay for the part of the assignment performed at that moment, in proportion to the total price. We will provide you with a breakdown.

Article 5 — Price and payment

The price is set out in the quotation. Our invoices are payable in cash, that is, upon receipt of the invoice.

We may ask for an advance payment. In that case we start once we have received it.

If you are a consumer and you do not pay on time, we will first send you a free reminder. Only after the statutory waiting period stated in that reminder has expired are default interest and compensation due, within the limits and up to the maxima laid down for this purpose in the Belgian Code of Economic Law.

If we owe you an amount and fail to pay on time, you are entitled to compensation under the same conditions.

If you are not a consumer, then in the event of non-payment on the due date, interest is due by operation of law and without notice of default as provided in the Act of 2 August 2002 on combating late payment in commercial transactions, increased by fixed compensation of 10% of the invoice amount with a minimum of EUR 125.

Any dispute about an invoice must be raised within fourteen days of receipt.

Article 6 — Term and termination

An assignment runs until the agreed result has been delivered.

Either party may terminate the agreement where the other fails to perform its obligations and does not remedy this within fourteen days of a written notice of default. On termination during performance, the work already delivered is settled pro rata.

Article 7 — Confidentiality and data protection

We treat everything you provide as confidential and use it solely for the assignment.

Only our internal staff has access to your file.

We do not pass your data to third parties unless you expressly ask us to and confirm which data may be shared.

How we process personal data is set out in our privacy policy.

Article 8 — Liability

We perform the assignment as an obligation of means, with the care that may be expected of a normally diligent service provider.

We are not liable for:

  • consequences of incomplete or inaccurate data provided by you;
  • data that can no longer be retrieved because a platform has disappeared, because you no longer have access, or because the history was not preserved;
  • the tax, accounting or legal consequences that you or a third party attach to our overview;
  • decisions you take on the basis of our overview.

Our liability for the performance of the assignment is limited to the amount of the price of that assignment, excluding VAT. This limitation does not apply in the event of intent or gross negligence, nor in cases where the law does not permit it.

Article 9 — Intellectual property

The content of our website, our name, our logo and our texts are protected. You may not copy or modify them without our prior written consent.

The overview we prepare for you is yours. You are free to use it and to share it with your accountant or adviser. The working method and the templates we use to produce it remain ours.

Article 10 — Force majeure

If circumstances beyond our control prevent us from performing our obligations, we suspend them for the duration of those circumstances. If they last longer than sixty days, either party may terminate the agreement, with the work already delivered settled pro rata.

Article 11 — Severability

If a provision of these terms is invalid, the remaining provisions continue to apply. The invalid provision is replaced by a valid provision that comes closest to it in effect.

Article 12 — Governing law and disputes

Belgian law applies.

If you are a consumer, you may bring a dispute before the court designated as competent by law, and you may also turn to the Consumer Mediation Service (Koning Albert II-laan 8 box 1, 1000 Brussels, consumentenombudsdienst.be) or use the European ODR platform.

If you are not a consumer, the courts of the judicial district of Antwerp have jurisdiction.
